Terms of Service

1. Provider and scope

These Terms of Service ("Terms") govern the use of the OVEL SaaS platform ("OVEL", "Service") provided by Weiland Enterprises LTD, Themistokle Dervi 48, Floor 3, Office 306, 1066 Nicosia, Cyprus (Registration Number ΗΕ 451507) ("Provider", "we") to businesses ("Customer") that use OVEL to conduct WhatsApp Business communication with their own end users.

2. Service description

OVEL is a Software-as-a-Service platform that enables Customers to plan marketing and transactional campaigns, manage contact lists, schedule message delivery and track delivery status. Messages are delivered exclusively through the official WhatsApp Business Platform provided by Meta Platforms, Inc. Recipients must have explicitly opted in to be contacted by the Customer via WhatsApp.

3. Account and access

The Customer must provide accurate registration information and keep credentials confidential. The Customer is responsible for all activity carried out under its account.

4. Customer obligations and acceptable use

  • The Customer warrants that every recipient contacted through OVEL has provided a valid, documented and freely given opt-in to receive WhatsApp messages from the Customer, and that the opt-in record can be produced on request.
  • The Customer complies at all times with the WhatsApp Business Messaging Policy, the Meta Platform Terms and applicable laws (including GDPR, ePrivacy and consumer protection law).
  • The Customer must honour opt-out requests (e.g. STOP replies) without undue delay and must not contact recipients who have opted out.
  • The Customer must not use OVEL for spam, fraud, harassment, misleading, deceptive, infringing, defamatory, harmful, hateful, adult, illegal or otherwise prohibited content, nor for any content restricted by Meta's policies (e.g. regulated goods).
  • The Customer must not attempt to reverse engineer, resell or abuse the Service, nor circumvent rate limits, quality ratings or other technical controls.

5. Data protection and Meta Platform Data

Where the Customer uploads or generates personal data of end users in the Service, the Customer acts as controller and the Provider as processor within the meaning of Art. 28 GDPR. A Data Processing Agreement is concluded between the parties. The Customer is solely responsible for the lawfulness of the data it processes via OVEL, including obtaining valid opt-in. Meta Platform Data is used only to provide the Service as instructed by the Customer (see Privacy Policy).

6. Fees and payment

Fees are charged according to the plan selected by the Customer. Conversation and template message fees charged by Meta may apply in addition to OVEL subscription fees. All fees are exclusive of VAT unless stated otherwise.

7. Availability

We make commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted availability. Planned maintenance, force majeure, and outages of the WhatsApp Business Platform are excluded from any availability commitment.

8. Suspension

We may suspend or terminate access to the Service without prior notice if the Customer materially breaches these Terms, the WhatsApp Business Messaging Policy or Meta Platform Terms, or if continued provision would expose us, Meta or third parties to legal or security risk.

9. Liability

We are liable without limitation for intent and gross negligence and in cases of mandatory statutory liability (e.g. for injury to life, body or health). For slight negligence we are only liable for breach of material contractual obligations and only up to typical, foreseeable damages. Liability for indirect or consequential damages, loss of profit or loss of data is excluded to the extent permitted by law.

10. Term and termination

The contract runs for the term selected by the Customer and renews for the same period unless terminated at the end of the relevant billing period. The right to terminate for cause remains unaffected.

11. Changes to the Terms

We may amend these Terms with reasonable advance notice. If the Customer objects to a material change, the Customer may terminate at the effective date of the change.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction, where legally permissible, is Nicosia, Cyprus.

13. Third-party trademarks

WhatsApp and the WhatsApp logo are trademarks of Meta Platforms, Inc. OVEL is an independent service and is not affiliated with, endorsed by or sponsored by Meta Platforms, Inc.
